      Quotation Terms and Conditions

      By requesting a quotation and accepting our quote, you agree to be bound by these terms and conditions. These terms are designed to protect both parties and ensure clear understanding of pricing, delivery, and order terms.

      1. Quotation Validity and Pricing

      1.1 Quotation Validity Period

      All quotations are valid for 30 days from the date of issue, unless otherwise specified in writing. After the validity period expires, prices and terms are subject to change without notice. We reserve the right to revise quotations if material costs, exchange rates, or manufacturing requirements change significantly before order confirmation.

      Quotations are estimates only and do not constitute a binding offer until we receive your written order confirmation and payment (or payment commitment as specified in the quotation). We reserve the right to withdraw or modify any quotation at any time before order confirmation.

      1.2 Price Components

      Quoted prices include:

      • Product manufacturing costs
      • Standard packaging
      • Quality control and testing

      Quoted prices do NOT include:

      • Shipping and freight charges (unless explicitly stated)
      • Customs duties, taxes, or import fees
      • Installation or commissioning services
      • Extended warranty beyond standard terms
      • Rush order premiums (if applicable)

      All prices are exclusive of applicable taxes, duties, customs fees, or shipping charges unless otherwise stated. You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction or customs authorities.

      1.3 Currency and Payment Terms

      All quotations are provided in the currency specified in the quotation document. Payment must be made in the exact currency and amount specified. Exchange rate fluctuations between quotation date and payment date are the customer's responsibility.

      Payment terms are as specified in each quotation and may vary based on order value, customer credit history, and order type. Standard payment terms require payment before shipment for orders under certain thresholds. Custom orders or large quantity orders may require partial payment or deposits as specified in the quotation.

      2. Order Confirmation and Modifications

      2.1 Order Acceptance

      An order is only considered confirmed upon:

      1. Receipt of your written order confirmation (email or formal purchase order)
      2. Receipt of payment or payment commitment as specified in the quotation
      3. Our written acknowledgment of order acceptance

      Verbal orders, informal requests, or preliminary discussions do not constitute a binding order until confirmed in writing by both parties. We reserve the right to reject any order for any reason, including but not limited to credit concerns, specification conflicts, or capacity constraints.

      2.2 Order Modifications and Cancellations

      Order modifications or cancellations may only be made if the order has not yet entered production or shipping. Once production has commenced or products have been shipped, modifications or cancellations are not permitted except at our sole discretion and may be subject to cancellation fees, restocking fees, or other charges.

      For custom products or orders already in production:

      • Modifications may not be possible due to manufacturing constraints
      • Cancellations are not permitted once production has commenced
      • Any modifications approved by us may result in additional charges and delivery delays

      For standard products that have not yet shipped: Cancellations may be permitted subject to applicable fees or policies. Cancellation requests must be submitted in writing and are subject to our approval.

      We are not liable for any costs, damages, or losses incurred by you as a result of order modifications or cancellations, including but not limited to production delays, inventory costs, or project schedule impacts.

      3. Specifications and Technical Requirements

      3.1 Specification Accuracy

      You are solely responsible for ensuring that all specifications, dimensions, and technical requirements provided in your quotation request are accurate and complete. We will manufacture products according to the specifications confirmed in your order. Any errors, omissions, or changes in specifications after order confirmation may result in additional charges, delays, or order rejection.

      We are not responsible for:

      • Specification errors provided by you
      • Compatibility issues resulting from incorrect specifications
      • Performance issues resulting from incomplete or inaccurate requirements
      • Additional costs incurred due to specification changes after order confirmation

      3.2 Custom Products and Prototypes

      For custom products, prototype development may be required to validate specifications before full production. Prototype costs, terms, and timelines will be specified separately in the quotation. Prototype approval is required before production commencement. Any modifications requested after prototype approval may result in additional charges and delays.

      Custom products are manufactured according to your specifications and may not be suitable for other applications. Returns or refunds for custom products are not permitted unless products are defective or do not meet confirmed specifications due to our error.

      4. Delivery and Shipping

      4.1 Delivery Terms

      Delivery times provided in quotations are estimates only and are not guaranteed. Actual delivery times depend on:

      • Order complexity and customization requirements
      • Manufacturing capacity and production schedules
      • Shipping method and destination
      • Customs clearance and international shipping delays
      • Force majeure events beyond our reasonable control

      We are not liable for any delays in delivery caused by factors beyond our reasonable control, including but not limited to:

      • Shipping carrier delays
      • Customs processing delays
      • Weather conditions or natural disasters
      • Labor disputes or strikes
      • Material supply chain disruptions
      • Government actions or regulations

      4.2 Shipping and Risk of Loss

      Shipping terms (FOB, CIF, EXW, etc.) are as specified in each quotation. Risk of loss or damage to products transfers to you according to the shipping terms specified. We are not responsible for loss or damage occurring after risk transfer, except as required by applicable law.

      You are responsible for:

      • All shipping and freight charges (unless included in quotation)
      • Customs duties, taxes, and import fees
      • Customs clearance and compliance with import/export requirements
      • Insurance coverage for shipments (if desired)

      4.3 Delivery Acceptance

      You must inspect products upon delivery and notify us within 7 days of delivery of any defects, damage, or non-conformities. Failure to notify us within this period may result in waiver of claims for visible defects or damage. Hidden defects must be reported within the warranty period.

      5. Payment Terms and Conditions

      5.1 Payment Requirements

      Payment must be made according to the terms specified in the quotation. Standard terms require payment before shipment for orders under certain thresholds. Custom orders or large quantity orders may require:

      • Partial payment or deposits upon order confirmation
      • Progress payments during production
      • Final payment before shipment

      We reserve the right to:

      • Require payment before shipment for any order
      • Suspend production or shipment if payment is not received as agreed
      • Charge interest on overdue payments at the rate of 1.5% per month
      • Require additional security or guarantees for orders from new customers

      5.2 Payment Methods

      Accepted payment methods are as specified in the quotation. We reserve the right to refuse any payment method at our discretion. Payment processing fees, if any, are the customer's responsibility unless otherwise agreed.

      5.3 Late Payment

      Late payments are subject to interest charges at the rate of 1.5% per month (18% annually) on the outstanding balance. We reserve the right to suspend further shipments or cancel orders if payment is overdue. You are responsible for all costs incurred in collecting overdue payments, including legal fees and collection agency fees.

      6. Warranty and Limitation of Liability

      6.1 Warranty Terms

      All products are covered by our manufacturer's warranty against defects in materials and workmanship under normal use and service. Warranty periods vary by product type and are typically 12 months from the date of delivery, subject to product specifications.

      Warranty does NOT cover:

      • Damage from misuse, improper installation, or accidents
      • Unauthorized modifications or repairs
      • Normal wear and tear
      • Damage from power supply issues or environmental factors beyond product specifications
      • Products used outside specified operating conditions
      • Cosmetic damage that does not affect functionality

      Warranty claims must be submitted within the warranty period with proof of purchase and product documentation. We will repair or replace defective products at our discretion, or provide refund if repair or replacement is not possible.

      6.2 Limitation of Liability

      OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO PRODUCTS OR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM.

      WE ARE NOT LIABLE FOR:

      • Indirect, incidental, consequential, or special damages
      • Loss of profits, revenue, or business opportunities
      • Loss of data or information
      • Costs of substitute products or services
      • Project delays or schedule impacts
      • Any damages exceeding the purchase price of the products

      This limitation applies regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

      7. Intellectual Property and Confidentiality

      7.1 Intellectual Property Rights

      All intellectual property rights in products, designs, specifications, and documentation remain our property unless otherwise agreed in writing. You may not copy, modify, reverse engineer, or create derivative works based on our products or designs without our written permission.

      For custom products: Unless otherwise agreed, we retain all rights to designs, specifications, and manufacturing processes developed during the project. You receive a license to use the products for your intended application but do not acquire ownership of the underlying intellectual property.

      7.2 Confidentiality

      Both parties agree to maintain confidentiality of proprietary information shared during quotation and order processes. This includes technical specifications, pricing information, business terms, and other confidential information. Confidentiality obligations survive termination of any order or business relationship.

      8. Force Majeure

      We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to:

      • Natural disasters, fires, floods, or earthquakes
      • War, terrorism, or civil unrest
      • Government actions, regulations, or embargoes
      • Labor disputes, strikes, or work stoppages
      • Material supply chain disruptions
      • Pandemics or public health emergencies
      • Transportation or shipping disruptions

      In the event of force majeure: We will notify you promptly and make reasonable efforts to minimize the impact. Delivery times may be extended, and we are not liable for delays or non-performance due to force majeure events.

      9. Dispute Resolution and Governing Law

      9.1 Governing Law

      These terms and conditions are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Any disputes arising from or related to quotations, orders, or these terms shall be subject to the exclusive jurisdiction of the courts of Guangzhou, China.

      9.2 Dispute Resolution

      Before initiating legal proceedings, parties agree to attempt good faith negotiation to resolve disputes. If negotiation fails, disputes shall be resolved through binding arbitration in Guangzhou, China, in accordance with the arbitration rules of the China International Economic and Trade Arbitration Commission (CIETAC).

      You waive any right to participate in class action lawsuits or to have disputes resolved by a jury. All claims must be brought individually.

      10. General Provisions

      10.1 Entire Agreement

      These terms, together with the quotation and order confirmation, constitute the entire agreement between the parties regarding the subject matter. Any prior agreements, understandings, or communications are superseded by these terms unless explicitly incorporated by reference.

      10.2 Modifications

      These terms may only be modified in writing and signed by authorized representatives of both parties. No oral modifications or course of conduct shall modify these terms.

      10.3 Severability

      If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

      10.4 Waiver

      Our failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us.

      10.5 Assignment

      You may not assign or transfer your rights or obligations under these terms or any order without our prior written consent. We may assign our rights and obligations to any affiliate or successor entity.

      10.6 Independent Contractor

      The relationship between the parties is that of independent contractors. Nothing in these terms creates a partnership, joint venture, agency, or employment relationship between the parties.

      Final Notice

      By requesting a quotation, placing an order, or accepting delivery of products, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions. If you do not agree to these terms, do not request a quotation or place an order.
